Joint ventures are a very useful tool to gain a competitive advantage and provide a winning solution for government contracts. However, to take full advantage of this tool, you need to understand how to best form and operate a joint venture.

 

There are many decisions that go into a joint venture, such as the type of legal entity to use, the management structure, and whether the joint venture should have its own employees. In addition, when the joint venture pursues set-aside contracts, you need to be mindful of SBA’s affiliation rules as well as the special rules that apply depending on the type of set-aside contract at issue.

Speaker and Presenter Information

Pamela Mazza

Pamela Mazza is the managing partner of PilieroMazza PLLC and has gained national recognition for her nearly 30 years of work with small to mid-sized government contractors. Ms. Mazza’s practice areas include all aspects of government contracts, including federal procurement programs for small businesses, audits and investigations. Ms. Mazza is also responsible for the firm’s government relations practice which represents corporations and trade associations before Congress and the Administration. She also counsels clients on general corporate matters, corporate transactions, protecting their intellectual property and regulatory compliance.

 

As managing partner, Ms. Mazza has overall responsibility for the firm’s practice groups, its seminar series and publications designed to keep clients abreast of legislative and regulatory changes affecting their businesses. Ms. Mazza is a frequent speaker at national conferences for government contractors. She also conducts in house training for corporations on small business compliance and government contracting issues.

 

Ms. Mazza serves as general counsel for the Montgomery County Chamber of Commerce, the Montgomery County Chamber Community Foundation, the National Veterans Small Business Coalition and the Small Environmental Business Action Coalition. She is a founding member and frequent instructor of the MCCC Veterans Institute for Procurement. She is a member of Women Impacting Public Policy’s Board of Directors and received their 2012 President’s Award for the training and leadership assistance she provides.

 

Ms. Mazza is admitted to practice law in the District of Columbia and Virginia, as well as before the U.S. Supreme Court, the U.S. Court of Federal Claims and various other federal courts. She also practices before the U.S. Government Accountability Office and the Agency Boards of Contract Appeals.

 

Jonathan Williams

Jon Williams is a partner with PilieroMazza PLLC and a member of the Government Contracts Group. Jon also practices in the Corporate and Labor and Employment Groups. He has more than 11 years of experience advising contractors on Federal Acquisition Regulation compliance, with a focus on the federal procurement programs for small businesses, including the 8(a) and SDVOSB programs. Jon has represented many small and mid-sized contractors in bid protests, size protests, and related administrative and court proceedings. He regularly helps contractors to establish and navigate subcontract, joint venture, and mentor-protégé relationships. Jon also counsels clients regarding growth and exit strategies, how to address data rights and trademark issues, Service Contract Act compliance and negotiations with labor unions, and responses to proposed suspension and debarment proceedings, among many other matters.

 

Jon received his law degree from the Catholic University, Columbus School of Law, and received a Certificate from the Communications Law Institute. He received a degree in public relations and a minor in law and public policy from Syracuse University. He is a member of the Maryland and District of Columbia bars, as well as the federal district courts in those same jurisdictions, the U.S. Court of Federal Claims, and the U.S. Court of Appeals for the Federal Circuit.
