FAR Workshop

Two concentrated days on how to understand and use the Federal Acquisition Regulation in your daily contracting activities including in-depth analysis of the FAR system, the key contract clauses and contract forms. Provides comprehensive coverage of the FAR for new users and an advanced treatment of specific issues for experienced contract professionals.

Course includes an explanation and demonstration of how to use the FAR online for research, reference, and updating.

The Federal Acquisition Regulation (FAR) directly affects the purchase and sale of over $200 billion worth of supplies, services and construction each year by federal and state procurement offices. This critically important document is comprehensive, complex, and continually changing. All contract professionals involved in a FAR-based procurement must have a detailed working knowledge of the FAR to ensure that they are getting the best possible contract and that they are in full compliance with all applicable laws.

This course is designed to address these challenges in a highly practical and user-friendly way. As the name indicates, this course is a Workshop. The instructor and students will work through practical exercises specifically designed to demonstrate how to work with the FAR. Students will develop and refine the skills necessary to apply the FAR to virtually any acquisition situation. The FAR provides considerable flexibility in many aspects of federal procurement. Often, however, buyers and sellers are unfamiliar with the range of discretion in the FAR. This course will distinguish between those sections of the FAR that are mandatory and those that allow the parties to structure the contract to fit the situation.

The course will also cover court and board decisions that have interpreted the most important FAR clauses. Such knowledge can provide a significant business advantage to those who understand how a particular FAR clause is likely to be interpreted in litigation. Since most users of the FAR access it through their computers, this course will include a computer demonstration of various techniques for searching and updating the FAR.

MR. STEVEN N. TOMANELLI, J.D., LL.M.

Mr. Steven N. Tomanelli is the owner of Steven N. Tomanelli & Associates and is an attorney specializing in federal procurement law in the Washington DC area. Mr. Tomanelli is a retired Air Force Judge Advocate and has held numerous high-level procurement law positions, including Chief of Acquisition and Fiscal Law for the Air Force’s Air Mobility Command and Senior DoD Counsel for the National Reconnaissance Office (NRO). He has provided consulting services and legal advice in support of highly classified major system acquisitions and has a current TS/SCI security clearance. Mr. Tomanelli was a Professor of Contract and Fiscal Law at the Army Judge Advocate General's School in Charlottesville, Virginia, for three years where he provided instruction in a wide variety of procurement and fiscal law topics. In 2001, he was selected as “The Outstanding Career Judge Advocate of the Air Force.”

Mr. Tomanelli has authored over forty course books and written numerous articles for national publications on federal procurement and fiscal law. Mr. Tomanelli has authored a comprehensive textbook titled, A Practical Guide to Federal Appropriations Law (MCI, 2003); is the Lead Editor of the Federal Acquisition Regulation (FAR) and the Annotated FAR for Thomson-West Publishing Company; and serves on the Advisory Board of the Government Contractor (West Publishing).

Education

Mr. Tomanelli received his B.A. and J.D. at Hofstra University and his Master of Laws (LL.M) in Federal Procurement Law at George Washington University. While earning his Master of Laws degree in Procurement, Mr. Tomanelli worked as an Intern at the Armed Services Board of Contract Appeals.

MICHAEL A. KILLHAM

Michael A. Killham is a California attorney specializing in federal procurement law. Mr. Killham provides legal services, training, and consulting services in all aspects of federal procurement and federal appropriations law, including Contract Formation and Compliance, Subcontracting, Teaming Agreements, Bid Protests, Commercial Item Contracting, Terminations, Source Selection Support, and COTR Support, Mr. Killham served as corporate counsel for several major U.S. government contractors following his retirement as a U.S. Army Judge Advocate. These assignments included that of Director, Legal Operations, for Lockheed Martin Aeronautics Company in Palmdale, California; General Counsel for Thales-Raytheon Systems Company LLC and MD Helicopters, Inc. in Fullerton, California and Mesa, Arizona, respectively; Senior Business Counsel for Raytheon Space & Airborne Systems in El Segundo, California; and Division Counsel for two operating divisions of Litton Industries, Inc. In these positions, he was responsible for identifying, advising on, and resolving a wide variety of legal issues, including those relating to government and commercial contracting, subcontracting, export-import compliance, corporate governance, intellectual property rights, labor/employment law, and litigation management.

While in the military, Mr. Killham served as a Trial Attorney in the Civil Division (Procurement Fraud Branch), U.S. Department of Justice, Washington, D.C.; as the Senior Command Counsel in Kuwait during a period of build-up for renewed hostilities with Iraq; as the Senior Professor of Contract and Fiscal Law on the faculty of the U.S. Army Judge Advocate General's School, Charlottesville, Virginia; as a Trial Attorney for the U.S. Army Contract Appeals Division, Arlington, Virginia; and as the Chief, Military Justice and a Criminal Prosecutor for the 1st Armored Division in Germany.

Education

Mr. Killham received a Bachelor of Science degree from the United States Military Academy at West Point, a Juris Doctor degree from Notre Dame Law School, and a Master of Laws degree (with emphasis on U.S. Government Procurement) from The Judge Advocate General's School. He is a graduate of the U.S. Army Infantry Officer's Basic Course, Ranger School, Airborne School, and Command and General Staff College, and has served as an Executive Officer, S-3 Air Officer, and Platoon Leader in the 1st Battalion, 505th Infantry Regiment, 82d Airborne Division at Ft. Bragg, North Carolina.
