Flowdowns: Are you Flowing FAR and DFARS Flowdown Webinar

The Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS) requires Federal prime contractors and subcontractors, small and large alike, to flow-down certain clauses from their contracts when buying items from their suppliers and subcontractors.  Although Small businesses are exempt from the requirement for subcontracting plans, small businesses are not exempt from FAR and DFARS flowdown requirements. Noncompliance can be costly and could result in contract termination and potential litigation between the prime contractor and its subcontractors.

 

FAR flow-down requirements are applicable to orders and subcontracts beginning as low as $15,000.  The FAR contains over 600 provisions and clauses.  Some prime contractors have attempted to comply with the flowdown requirements by simply incorporating and flowing down all of the FAR and DFARS clauses contained in their contracts into their subcontracts.  The courts have found this practice unacceptable for compliance purposes.

 

Complicating the matter is the FAR and DFARS do not contain matrices showing their respective flow-down requirements.

Wayne Simpson is retired from the U.S. Department of Veterans Affairs (VA) after 38 years of federal service. He served as the Executive Assistant to VA’s Deputy Assistant Secretary for Acquisition and Logistics where he was the primary staff advisor to the Deputy Assistant Secretary, who serves concurrently as VA’s Senior Procurement Executive and Debarring Official. Wayne’s federal experience is significant and provides him with a unique combination of skill sets, knowledge, and insight into acquisition operations and procurement opportunities. He also has a keen understanding of the interrelation of federal contracting and small business programs and the challenges presented by their often competing interests.
