This webinar will help an issuer prepare its  official statement in compliance with federal securities laws.  Topics to be discussed include:

(1)    best practices in preparing your official statement (including who should be responsible for which sections of the official statement, discussion of relevant federal securities laws , what is a “10b-5 letter” and recent SEC actions against issuers including New Jersey and San Diego);

(2)    pension disclosure (including who’s responsible for it, whether you should hire outside counsel to help you prepare it and recent SEC actions involving pension disclosure); and

(3)    continuing disclosure requirements (including how to file continuing disclosure filings with EMMA and a discussion on continuing disclosure undertakings, material event notices, annual financial information and audited financial statements)
